1. Acceptance of Terms
By accessing or using the Grainylabs platform (“Service”), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the Service.
2. Description of Service
Grainylabs provides a workflow management platform for analogue film labs, including scan delivery, client notifications, order tracking, upselling tools, and analytics. The Service is provided on a subscription basis.
3. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload malicious code or interfere with the Service's operation
- Attempt to gain unauthorised access to other accounts or systems
- Resell or redistribute the Service without our written consent
- Use the Service to store or transmit content that infringes any third party's rights
5. Your Data
You retain ownership of all data you upload to the Service (including scan files, order data, and customer information). By using the Service, you grant us a limited licence to process this data solely for the purpose of providing the Service to you.
You are responsible for ensuring you have the necessary rights and consents to share customer data (e.g. email addresses) with the Service for notification delivery.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our reasonable control.
7. Payment & Billing
Subscription fees are billed in advance on a monthly or annual basis, as selected during sign-up. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.
8. Termination
Either party may terminate the agreement at any time. Upon termination, your access to the Service will cease and we will delete your data in accordance with our Privacy Policy. You may request an export of your data before termination.
9. Limitation of Liability
To the maximum extent permitted by law, Grainylabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Belgium. Any disputes shall be subject to the exclusive jurisdiction of the courts of Belgium.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice on the platform. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
